Terms and agreement

Article 1: Applicability
These terms and conditions govern all offers and agreements of RPD Service including the implementation of. Any deviating general terms and conditions of the client will only become applicable and binding if this has been agreed in writing in advance. The stipulations deviating from these general terms and conditions must be explicitly agreed in writing with RPD Service. These clauses only work with regard to those agreements for which RPD Service has approved in writing.
The other general terms and conditions will then remain in full force.
Article 2: Agreements and quotes
Offers from RPD Service are entirely without obligation and can be revoked. Agreements, agreements and / or promises with RPD Service are only binding when agreed in writing. Agreements are established through written acceptance and order confirmation from RPD Service, which follows.
Any additional agreements are binding at the time of written confirmation.
Article 3: Prices and additional costs
Prices and rates quoted by RPD Service apply to individuals and are all inclusive of VAT (except for the meal / accommodation allowance) and any other duties and taxes to be levied by the government.
For business customers we use (other) attractive hour & KM rates, ask for the conditions and options. If you or your business organization regularly use our services, there is the option of paying afterwards by invoice.
You or the guest (s) authorized by you then only have to sign the receipt from our driver upon arrival at the final destination. You will then receive a specified invoice each month.
RPD Service charges the hours of driving or waiting for the client. Hours are rounded up per half hour with a minimum use of 2 hours unless otherwise agreed in writing. If at the end of the assignment the location of the assignment differs from where started, RPD Service will charge the travel costs (KM and / or hours) to be returned to the starting location to the client. This according to the rates applied by RPD Service.
For services of 12 hours or more with journeys after 19:00, RPD Service will charge the client € 15.- meal allowance for the benefit of the driver.
Necessary costs such as parking, car, fuel, overnight, public transport, taxi, aircraft, boat, toll and any other costs incurred for the use of the vehicle with driver are entirely for the client.
For orders of several days, where it is necessary to spend the night, RPD Service will not charge the minimum overnight hours of 8 hours per day. This may be deviated from in mutual consultation.
Extra costs due to specific requirements of the client will be fully charged to the client. Unless stated otherwise, prices and rates are based on wages, wage costs, social and other government charges, insurance premiums and other costs that apply during the quotation or date. For agreements that take place on official national and / or Christian holidays, RPD Service will charge a surcharge of 100% excluding VAT.
RPD Service is entitled to annually index the rates and to increase the agreed prices and rates accordingly. This must be stated in the case of already known future price increases at the conclusion of the agreement.
Client has the right to request changes to the agreement. On the basis of Article 2 of these terms and conditions, an amended agreement may then be concluded.
Any additional costs incurred as a result will be invoiced separately.
Client is deemed to have made a request for a change as referred to in paragraph 11 of this article, if it appears that extra time or costs are necessary to comply with certain (government) regulations.
Client is obliged to reimburse any costs that arise because it does not fulfill its obligations as referred to in Article 7 of these terms and conditions. Without prejudice to the provisions elsewhere in this condition,
RPD Service has the right to charge the client additional costs, insofar as those costs arise as a result of:
Being unable to execute the agreement in a normal manner and / or without interruption through no fault of RPD Service.
No fault of RPD Service must extend the service to be provided in the context of the implementation of the agreement.
Article 4: Cancellation
The client is entitled to cancel the assignment provided that this is notified by telephone and in writing at least 12 hours before departure from the driver’s home. In the event of a late cancellation, RPD Service is entitled to charge and invoice 3 hours.
Article 5: RPD Service obligation
When purchasing services incl. Car, RPD Service will take care of replacement transport if possible.
When booking, RPD Service will take the wishes and information of the customer into account as much as possible.
RPD Service offers a driver who is representative and in possession of the required driver’s license to drive the vehicle in question.
Article 6: Liability and insurance
RPD Service will at all times ensure comprehensive passenger insurance. RPD Service is only liable for damage in the event of improper performance of driver work, being intent or gross negligence.
The client indemnifies RPD Service against claims by third parties arising from work performed by us. RPD Service is not liable for failure to reach the specified destination on time.
RPD Service is not liable for costs or damage caused by an accident or a fine (s) during the performance of the assignment. This when this is not due to intent or gross negligence of the driver.
RPD Service drive the means of transport according to all legally prescribed rules. Violating traffic rules on behalf of the client only takes place in consultation with the relevant driver.
The client is fully responsible for the fines.
RPD Service is not liable; for passenger injury; for damage and / or costs to items present in the vehicle during the execution of the assignment; for damage and / or loss caused by the driver to the client or third parties, except in the case of intent or gross negligence; for at most an amount equal to the costs of the assignment excluding sales tax. RPD Service is not liable for loss or reduction of the no-claim discount and deductibles of the insured.
Article 7: Insurance and obligations of the client
During the entire duration of the agreement, the client is responsible for taking out and maintaining liability insurance in accordance with the Motor Vehicle Liability Insurance Act. The client must ensure that the vehicle to be driven meets all safety requirements that can reasonably be set. The vehicle must also be MOT approved. If the driver needs a different driving license than driving license B for driving the vehicle to be driven, the client must state this when booking.
If, at any point in time before the performance of the agreement, the client foresees that it does not meet the requirements, it must report this to RPD Service.
In that case RPD Service can dissolve the agreement directly through an extrajudicial declaration. RPD Service is then entitled to charge for any damage and / or costs incurred.
Article 8: Handling complaints
Complaints about RPD Service and / or our drivers must be submitted in writing within 5 working days after termination of the work. Once this period has expired, we will no longer handle any complaints. The client is then deemed to have approved the work performed and / or invoices. We will handle the complaints as well as possible to the wishes of the customer. If the complaint is not dealt with within 6 weeks, the customer can contact the Disputes Committee if desired.

Article 9: Prohibition on approach to personnel
The client is not authorized to approach RPD Service personnel (drivers) within a period of one year after the client’s last executed order without the intervention of RPD Service for requesting the driving of a vehicle. This is subject to written permission from the management of RPD Service. In the event of a violation of the situation referred to in Article .1, RPD Service is entitled to immediately claim an amount of € 300 per day. This is increased by any consequence of damage as a result of the violation.
Article 10: Force majeure
Force majeure is understood by RPD Service as follows: any circumstance that limits RPD Service’s compliance with the agreement,
10.1 includes the following circumstances:
Terrorism, fire, (civil) war, emergency situations, hostilities, danger of war, embargo, (special) weather conditions, government measures, energy crisis, mobilization, epidemics, natural disasters, state of emergency, state of siege, riots, business disruptions, demonstrations, strike, riots, traffic detention, theft or malfunctioning of the vehicle designated by the client, illness of the drivers of RPD Service, any circumstance beyond the control of RPD Service, whether this was foreseeable during the conclusion of the agreement or not.
Article 11: Dissolution
RPD Service is entitled to suspend the assignments that have not yet been carried out or to dissolve them without judicial intervention, if payment has not been made in time during the course of the agreement or if there is fear of it. RPD Service retains the right to compensation for all damage, costs and interest if the client:
Malpractice; has been declared or has been declared bankrupt; has received a suspension of payment or has been requested; obtains the application of the (provisional) debt restructuring; ceases all or part of its business, including, in the case of a company, the transfer of (part of) the share capital; loses a license, exemption or registration required from its company; is confronted with herds of any kind; dies or makes a start on the total or partial liquidation of its business and / or assets; is irrevocably sentenced to imprisonment or a fine under the Economic Offenses Act.
Article 12: Invoicing
Our invoices are drawn up based on the hours and / or KMs that the driver passes on to RPD Service and will be signed off by the client after the assignment has ended.
If the client does not agree with the number of hours and / or KM invoiced, the client is obliged to inform the RPD Service management of this in writing within a period of 5 working days after receipt of the invoice.
Article 13: Payment
The client is obliged to settle the invoice within 14 days after the invoice date by transferring it to the bank account indicated by RPD Service without any claim for set-off and / or any discount.
If the client has remained in default one calendar month after the invoice date, RPD Service is entitled to charge € 15 administration costs. The client owes 5% interest per calendar month.
A part of a month is counted as a full month. Payments are made in cash, by (debit) credit card or via bank or giro account.
Client owes RPD Service all judicial and unlawful (collection) costs.
Article 14: Name change
The conditions set here remain in force in the event that RPD Service changes wholly or partly in name, legal form or ownership.
Article 15: Chain clause
In the event of complete or incomplete transfer and / or change of the company, whereby our service is provided, the client is obliged to impose these conditions on the follow-up.
Article 16: Intellectual property
The intellectual property rights to documents provided by RPD Service remain with RPD Service. The relevant documents are exclusively intended for use by the client and may not be reproduced, published or disclosed to third parties without the prior written permission of RPD Service.
Article 17: Confidentiality
Both parties are obliged to maintain the confidentiality of all confidential information that they have received from each other or from another source in the context of the agreement. Information is considered confidential if this is stated by a party or results from the nature of the information.
Article 18: Applicability of law and competent court
Every agreement to which these conditions apply as well as activities abroad are governed by Dutch law. Any dispute arising as a result of the agreement concluded between the contractor and the client will in the first instance be settled exclusively by the district court. If the client is a consumer within the meaning of the law, RPD Service will grant him a period of at least one calendar month to choose a competent court.
Article 19: Transport of animals
* Living animals may, subject to the provisions of the following paragraph of this article, be carried in an easily portable basket, bag or similar object that can be put down or kept on your lap. Dogs may, however, also be transported in another way, provided they are kept on a short leash and / or in a portable basket.
* The animals referred to in the first paragraph may not be taken if they can be inconvenient or annoying or suffer from a serious illness in any way for the traveler or the driver.
* Assistance dogs, such as guide dogs, must be taken under all circumstances. If a driver is allergic, he / she must arrange replacement transport within 30 minutes
